Contract Law in Cameroon
Cameroon's commercial contract law is primarily governed by the OHADA Uniform Act on General Commercial Law (Acte Uniforme relatif au Droit Commercial Général) and the OHADA Uniform Act on Security Interests. French civil law principles also apply as residual law. Contracts must be lawful, contain valid consent, have a determined object and cause, and comply with mandatory OHADA provisions. Written contracts are strongly recommended and required for certain transaction types.
Types of Contracts We Handle
• Distribution and agency agreements • Supply and procurement contracts • Joint venture and partnership agreements • Service agreements and consulting contracts • Employment contracts and executive service agreements • Franchise and licence agreements • Real estate leases (commercial and industrial) • Construction and EPC contracts • Non-disclosure agreements (NDAs) • Terms and conditions of sale • Share purchase agreements and mergers
Our Contract Services
We draft contracts in both French and English, tailored to your specific transaction and compliant with OHADA requirements. We review existing contracts to identify risks, gaps and non-compliance. We negotiate on your behalf with counterparties and their counsel. We advise on applicable law, jurisdiction and dispute resolution clauses (arbitration at CCJA, CAMCIAC or international arbitration). We maintain a library of proven contract templates for common transactions in Cameroon.
Dispute Resolution
If a contractual dispute arises, we can represent you in mediation, arbitration or court proceedings. The OHADA Common Court of Justice and Arbitration (CCJA) in Abidjan has jurisdiction over OHADA law disputes. We also handle cases before Cameroonian courts and international arbitral tribunals.
